Terms of Service

1. Acceptance of terms

By creating an account or using EaseFlow, you agree to these Terms of Service. If you do not agree, please do not use EaseFlow.

2. Eligibility

You must be able to form a legally binding contract to use EaseFlow, and you must use it for a legitimate business purpose.

3. Account registration & security

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your sign-in credentials. Notify us promptly if you suspect unauthorized access to your account.

4. Business accounts

EaseFlow accounts are intended for use by a business owner or their authorized staff to manage that business's invoicing, customers, and related records.

5. Your data, content & responsibilities

You retain ownership of the business data, documents, and customer information you enter into EaseFlow ("Your Content"). You are solely responsible for Your Content, including but not limited to:

• invoices, quotations, receipts, and estimates you create
• customer and client records
• products and services you list
• taxes, tax rates, and tax information you apply
• payment information and payment records
• your business information (name, address, logo, and other profile details)
• any other content you create, upload, or store on EaseFlow

You are responsible for the accuracy, lawfulness, and completeness of Your Content, including having any necessary permission to store your customers' contact details. EaseFlow does not review, verify, certify, or guarantee the legality, accuracy, or completeness of any user-generated content.

6. Generated documents

EaseFlow automatically generates invoices, quotations, receipts, estimates, and other documents based solely on the information you supply. You are responsible for reviewing every generated document for accuracy before sending it to a customer or otherwise relying on it. EaseFlow is not responsible for errors, omissions, or losses arising from incorrect information you entered.

7. Acceptable use

You agree not to misuse EaseFlow. Our full Acceptable Use Policy sets out prohibited activities and is incorporated into, and forms part of, these Terms of Service.

8. Intellectual property

EaseFlow's software, source code, APIs, trademarks, branding, logos, user interface and user experience design, documentation, and other proprietary technology are owned by EaseFlow (or its licensors) and are not transferred to you by using the service. You may not copy, reverse-engineer, decompile, resell, or create derivative works from EaseFlow without our prior written permission.

9. Third-party services

EaseFlow relies on third-party providers, including Clerk (authentication), Supabase (database and storage), and Paystack (payments). Your use of payment features is also subject to Paystack's own terms.

10. Subscriptions, billing & payments

EaseFlow offers a Free plan and paid plans (Starter, Growth, and Growth Annual) as shown on our Pricing page. Paid plans are billed either monthly or annually depending on the plan, either by card via Paystack or by bank transfer with manual activation. Prices are shown in Nigerian Naira (₦) and may change; we will make reasonable efforts to notify active subscribers of price changes in advance.

11. Cancellation

You may stop using a paid plan at any time. See our Refund & Cancellation Policy for how cancellation, renewal, and refunds work in practice.

12. Service availability

We aim to keep EaseFlow available and reliable, but we do not guarantee uninterrupted access. EaseFlow may be temporarily unavailable for maintenance, updates, or reasons outside our control.

13. Force majeure

EaseFlow is not liable for any failure or delay in performance caused by events beyond our reasonable control, including internet or network failures, cloud hosting or infrastructure provider outages, payment provider failures, cyber attacks, government actions, natural disasters, war, or strikes.

14. Fraud, illegal activity & suspension

We may suspend or terminate accounts that violate these Terms or our Acceptable Use Policy, including accounts used for fraud, abuse, or illegal activity. Where we suspect fraud or illegal activity, we may investigate, preserve relevant account and transaction records, and cooperate with valid requests from law enforcement, courts, or government authorities where required by applicable law. EaseFlow does not endorse, participate in, or take responsibility for illegal activity carried out by users of the platform. You may stop using EaseFlow and request account deletion at any time.

15. Disclaimers & no professional advice

EaseFlow is provided "as is." While we work to keep the service accurate and reliable, we do not guarantee that it will be error-free or uninterrupted. EaseFlow is software only, and we do not provide accounting advice, tax advice, financial advice, legal advice, regulatory advice, or auditing services. Nothing on EaseFlow is a substitute for advice from a qualified professional, and you should consult one where appropriate for your business.

16. Limitation of liability

To the extent permitted by applicable law, EaseFlow will not be liable for indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of, or inability to use, the service. EaseFlow's total liability arising out of or relating to these Terms or your use of the service will not exceed the amount you paid EaseFlow for the service in the twelve (12) months before the claim arose, except where a limitation of this kind is not permitted by applicable law.

17. Indemnification

You agree to hold EaseFlow harmless from claims arising from Your Content or your misuse of the service, to the extent permitted by applicable law.

18. Electronic communications

By using EaseFlow, you agree to receive electronic communications from us relating to security and login verification, invoices and receipts, subscriptions and billing, service updates, policy changes, and maintenance notices. These communications are part of the service and are not marketing you can opt out of while keeping your account.

19. Data retention after account deletion

If you delete your account, we remove or anonymize your data within a reasonable period. We may, however, retain limited information for longer where necessary for legal obligations, fraud prevention, dispute resolution, security, regulatory compliance, or to enforce these Terms of Service.

20. Changes to the service or these terms

We may update EaseFlow's features and these Terms over time. We will update the "Last updated" date above when we make material changes.

21. Governing law

These Terms are governed by the laws of Nigeria, to the extent applicable.
